Welcome to Relay Auto’s website (the “Site”) and the Relay Auto mobile application downloaded through a mobile or tablet device (the “App”). By accessing, installing, downloading, or using the Site or App, you agree to the following Terms of Use. The terms “Relay Auto,” “Company,” “us,” “we,” or “our” refer to Relay Auto, LLC, the owner of the Site and App, and its subsidiaries, affiliates, partners, officers, directors, employees, and agents. The terms “you” or “your” refer to the user or viewer of the Site or App. We reserve the right to suspend or terminate your account, or your ability to use or access the Site, the App, or any portion thereof, for any reason whatsoever and without prior notice.
Modifications
Relay Auto reserves the right to change, modify, or otherwise alter these Terms of Use at any time at our sole discretion. We will post any updates on our Site or within the App. Please review these Terms of Use periodically. Your continued use of the Site or App after changes are posted constitutes your acceptance of the revised Terms.
Services
Relay Auto provides dealership software solutions, including:
• Relay DPM (Deal Process Management)
• Relay StaffMaster (Staff Scheduling)
• Combined platform usage
Access to specific applications, modules, and functionality is determined prior to use through a subscription or service agreement between Relay Auto and the dealership or organization.
Organization-Controlled Access
The Services are provided to dealerships and organizations.

• Data access and usage
You agree to use the Services in accordance with your organization’s policies.
Accounts and Registration
Certain areas of the Site or App may require you to create an account or provide personal information. By registering, you agree to provide accurate and complete information. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Relay Auto is not liable for losses or damages caused by your failure to safeguard your login details. Please review our Privacy Policy for information on how we collect, use, and safeguard personal data.
Ownership of Intellectual Property
The Site and App, including all software, text, images, designs, videos, photographs, logos, trademarks, databases, and other proprietary materials (collectively, the “Materials”), are owned by Relay Auto or its licensors and are protected by copyright, trademark, and other intellectual property laws. Except as expressly permitted below, you may not copy, reproduce, modify, distribute, or exploit any Materials without our prior written consent.
Limited License; Permitted Uses
You are granted a limited, non-exclusive, non-transferable, revocable license to:
- Access and use the Site and App strictly in accordance with these Terms.
- Download and use the App on devices you own or control, subject to Apple’s App Store Terms and Conditions and Google Play’s Terms of Service.
- Use the Site and App solely for business purposes related to dealership operations, and not for resale or other commercial exploitation.
- Print or download limited content for internal dealership use, provided all copyright and proprietary notices are preserved.
Prohibited Uses
You may not use the Site or App to:
- Upload, transmit, or distribute viruses, harmful code, or spam.
- Infringe upon the intellectual property, privacy, or contractual rights of others.
- Engage in unlawful, fraudulent, defamatory, or abusive activities.
- Attempt to gain unauthorized access to the Services or interfere with their functionality.
- Use automated tools (bots, crawlers, spiders) without our prior written consent.
Relay Auto reserves the right to remove or restrict access to any content or accounts violating these Terms.
Data & Privacy
Your use of the Services is also governed by our Privacy Policy.
You acknowledge that:
• Data is processed based on your organization’s configuration
• Certain features may involve location data, identity verification, or analytics
• You can manage permissions through your device and account settings
Certain data may be controlled by your organization, and your rights may be subject to your
organization’s administration.
Links to Third-Party Services
The Services may integrate with third-party systems (e.g., DMS, credit providers, identity verification tools). Relay Auto is not responsible for third-party services or their practices.
Incorporation of Third-Party Terms:
These Terms incorporate and supplement applicable Apple App Store Terms and Conditions and Google Play Terms of Service. In the event of a conflict, these Terms will control as they relate to the Services.
Export Compliance
The Services are operated from the United States. You agree to comply with all applicable export control laws and regulations. You may not use, export, or re-export the Services in violation of U.S. export laws.
Errors, Corrections, and Changes
We do not guarantee uninterrupted or error-free operation.
We may modify or discontinue features at any time.
We reserve the right to:

• Update content at any time without notice

You agree to indemnify, defend, and hold harmless Relay Auto, its affiliates, officers, employees, contractors, and partners (including Apple, Inc. and Google LLC) from all claims, damages, losses, liabilities, and expenses (including attorney’s fees) arising out of your use or misuse of the Site or App, your violation of these Terms, or infringement of third-party rights.
Disclaimer of Warranties
THE SITE, THE APP, AND ALL CONTENT PROVIDED ARE OFFERED “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, RELAY AUTO DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, SECURITY, OR ACCURACY.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RELAY AUTO AND ITS AFFILIATED PARTIES SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF OR INABILITY TO USE THE SITE OR APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100) OR THE AMOUNT PAID TO RELAY AUTO FOR THE SERVICE IN THE PAST TWELVE MONTHS, WHICHEVER IS GREATER.
Applicable Law, Venue, and Jurisdiction
These Terms of Use are governed by the laws of the State of Nevada and the United States, without regard to conflict-of-law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Clark County, Nevada, for any disputes arising out of these Terms, the Site, or the App.
Any claims must be brought individually and not as part of a class action.
Incorporation of Third-Party Terms
These Terms incorporate and supplement Apple’s App Store Terms and Conditions and Google Play’s Terms of Service. If any provisions conflict, these Terms will control as they relate to the App.
Entire Agreement
These Terms, together with the Privacy Policy and any applicable subscription or service agreement, constitute the entire agreement between you and Relay Auto regarding the Services.
Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will
remain in full force and effect.
